The following text of the Public Offer (hereinafter – the "Offer"), addressed to an indefinite circle of persons, visitors of the website: https://dronespacelabs.com/ (hereinafter – the "Website") when using the Website, ordering goods on the Website, corresponding, and performing any other actions on the Website when interacting with the seller of the goods – DRONESPACELABS LIMITED LIABILITY COMPANY (identification code: 45238876, legal address: 02094, Kyiv city, Hnata Khotkevycha street, building 12, office 177).
This Offer is a public offer within the meaning of the provisions of the current legislation of Ukraine.
The acceptance (Acceptance) of this Offer, meaning the unconditional agreement to its terms, is placing an order through the Website and/or making a payment for the goods.
The User hereby acknowledges that the acceptance of the Offer is equivalent to signing and entering into a supply agreement under the terms set forth in this Offer. Should any part of this Offer be deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
If you, as a User, do not agree with this Offer, you should not use the Website. Please periodically check this Offer, as changes to the Offer indicate that you accept them from the moment such changes are made.
By accepting this Offer, the User consents to the processing and protection of their personal data, in the scope, procedure, and according to the purpose and objectives of processing in accordance with the current legislation of Ukraine.
1. GENERAL PROVISIONS1.1. The Seller sells goods through the Website at https://dronespacelabs.com/. 1.2. By ordering goods through the Website, the User agrees to this Offer, as well as the terms of sale and supply of goods set out below. In case of disagreement with the specified terms, the User must immediately cease using the Website and leave it. 1.3. This Offer may be changed by the Seller unilaterally without prior notice to the User/Buyer. The new version of the Offer comes into force from the moment of its publication on the Website and applies to Orders placed after this publication. For Orders placed before the changes were made, the version of the Offer effective on the date the Order was placed applies. 1.4. By providing the Seller with their email address and/or phone number, the User/Buyer consents to the processing of this data by the Seller for the purpose of proper fulfillment of obligations under this Offer (including order confirmation, transfer of the order for delivery, informing about the order status, refunds, etc.). Separately, subject to explicit consent (by placing the corresponding mark when placing an order on the Website), the User/Buyer agrees to receive informational and promotional messages (mailings, notifications about promotions, discounts, and other offers) from the Seller and/or third parties authorized by them. The User/Buyer has the right to refuse such messages at any time by following the unsubscribe link or by contacting the Seller using the contact details specified in this Offer.
2. PRICE OF GOODS2.1. The price of the goods is determined at the time the Order is placed and is final for that Order. The description of the goods posted on the Website, including prices, is determined by the relevant publication on the Website. Information regarding the availability of goods may change. In the event the goods are unavailable, the Seller has the right to refuse to fulfill the Order, notifying the Buyer by any available means.
3. ORDERING AND DELIVERY OF GOODS3.1. Orders for Goods are placed by the Buyer through the Seller's Website during business hours. The Seller undertakes to review and process Orders in the order of their receipt. If an Order is placed after 5:00 PM or on weekends and holidays, its processing will be carried out on the next business day. 3.2. The cost of Goods delivery is not included in the cost of the Order and is paid additionally by the Buyer in accordance with the information posted in the "Delivery" section on the Website. 3.3. The Buyer undertakes to provide accurate and complete data for placing the Order and delivery of the Goods, including contact information and the recipient's address. In case of providing incorrect or incomplete data, the Seller has the right to postpone the fulfillment of the Order until the clarified information is received, but for no more than 2 (two) business days from the moment the Order is paid for by the Buyer. 3.4. Payment of the Order by the Buyer is the unconditional acceptance of the terms of this Offer and confirms the Buyer's intention to enter into an agreement on the proposed terms. Payment can be made by bank transfer or by cash on delivery (COD), meaning payment upon receipt of the Goods. The date of payment is considered to be the day the funds are credited to the Seller's account or the transfer of funds to the delivery service (courier) in case of COD. In case of refusal to accept the Goods upon COD, the Buyer is obliged to compensate the Seller for the actual costs of delivery and return of the Goods by deducting them from the prepayment (if any) or by invoicing for such costs, unless otherwise provided by the norms of the current legislation of Ukraine. After confirming the payment, the Buyer receives a notification to the email address specified when placing the Order, confirming the fact of payment and the details of the ordered Goods. 3.5. Orders are accepted for fulfillment only after the funds are credited to the Seller's account, except when choosing the method of payment upon receipt of the Goods. In case of using payment services, terminals, or other payment systems, the commission for using payment systems (if charged) is paid by the Buyer in accordance with the tariffs of the respective payment system. 3.6. The Buyer has the right to cancel or change the Order before it is paid for. After the payment is received, the Order is considered confirmed and accepted for fulfillment by the Seller. 3.7. The delivery of the Goods is carried out at the address and under the terms specified by the Buyer in the Order. The Seller performs the delivery after coordinating with the recipient via the contact method, including the phone number, specified when placing the Order. The Seller reserves the right to change the delivery period in cases provided for by law, or when it is necessary to clarify the recipient's data, but for no more than twelve hours from the moment the information is received. 3.8. The Order is considered fulfilled at the moment of its transfer to the recipient or a person authorized by them to receive the Goods. All risks of accidental loss or damage to the Goods until the moment of their transfer to the delivery service or directly to the Buyer/recipient are borne by the Seller. After the transfer of the Goods to the delivery service (courier), the risks of accidental loss or damage pass to the Buyer, unless otherwise explicitly provided by the legislation of Ukraine or the agreement with the carrier. From the moment the Goods are accepted by the Buyer or the recipient, all risks pass to them. 3.9. The Seller is not responsible for late delivery or other violations in case the Buyer provides incorrect data or in cases that are beyond the Seller's control. 3.10. The Buyer has the right to refuse the Order or individual Goods upon receipt, notifying the courier and the Seller of the reason for the refusal via the contact phone number or email. To arrange a return or refusal, the Buyer is obliged to notify the Seller via the contact phone number or email, provide a description of the reason for the return, and, if necessary, supporting materials in the form of photos. 3.11. The rules for the exchange and return of Goods are regulated by the current legislation of Ukraine and are posted in the "Delivery and Payment" section on the Seller's Website. The returned Goods must be provided in the condition in which they were delivered, including all components and packaging. All costs associated with the return or exchange of Goods of proper quality are borne by the Buyer, unless otherwise provided by current legislation or agreement between the parties. 3.12. The list of goods not subject to return (exchange) is determined by the current legislation of Ukraine. 3.13. All other complaints that do not fall under the above conditions are considered by the Seller within three business days from the moment of their receipt, and the results of the consideration are communicated to the Buyer in written or electronic form.
4. FORCE MAJEURE CIRCUMSTANCES4.1. The Parties shall be released from liability for partial or complete non-fulfillment of obligations under this Offer if such non-fulfillment was the result of force majeure circumstances that arose after the conclusion of this Offer due to circumstances of an extraordinary nature that the Parties could not foresee or prevent, namely: fire, natural disaster, war and military operations of all types, civil and national unrest, transport blockade, adoption of acts by government and administrative bodies that impede the fulfillment of the terms of this Offer, and other circumstances that are beyond the reasonable control of the Party, as well as failures occurring in telecommunication and energy networks. 4.2. The Party affected by the force majeure circumstances is obliged to immediately, within 3 (three) business days, notify the other Party in writing of the occurrence of such circumstances, providing a document from an authorized state body regarding the expected term of their effect and termination. 4.3. In the event of force majeure circumstances, the term for fulfilling obligations under this Offer shall be postponed in accordance with the time during which such circumstances and their consequences are in effect. If the force majeure circumstances exist for more than 3 (three) consecutive months, either Party shall have the right to terminate the Offer unilaterally.
5. OTHER TERMS5.1. Neither Party has the right to transfer its rights and obligations under this Offer to third parties without the written consent of the other Party, except for cases where the Seller engages third parties to fulfill its obligations (delivery, payment services, etc.). 5.2. The Seller reserves the right to amend the terms of the Offer and/or withdraw the Offer at any time at its discretion. If changes are made to the Offer, such changes come into effect from the moment the corresponding notice is posted on the Website. 5.3. The Buyer agrees and acknowledges that amendments to this Offer mean corresponding amendments to the sales agreement concluded on its terms, and such changes become effective from the moment they are published on the Website. 5.4. The pre-trial dispute resolution procedure is mandatory. The Seller considers the claim and provides a response within 30 calendar days from the moment of its receipt. In case of no response within this period or in case of the Buyer's disagreement with the response, the Parties have the right to appeal to court to resolve the dispute in accordance with the current legislation of Ukraine. 5.5. In case of inability to resolve disputes and disagreements through negotiations, their settlement and consideration shall be conducted in court in accordance with the current legislation of Ukraine.
